Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (or the business entity you represent, "Customer" or "you") and GovConIQ ("GovConIQ," "we," "us," or "our") governing your access to and use of the GovConIQ platform, website, and associated services (collectively, the "Service").
By creating an account or using the Service, you represent that you have the authority to enter into this agreement on behalf of your organization and that your use of the Service will comply with all applicable laws.
2. Description of Service
GovConIQ is an AI-powered federal contracting intelligence platform that monitors publicly available federal procurement data, matches opportunities against customer-defined company profiles, and generates AI-scored bid/no-bid recommendations and opportunity intelligence. The Service is intended for U.S.-based government contractors and organizations engaged in or pursuing federal contracting activity.
3. Account Registration
To access most features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and notify us immediately of any unauthorized access to your account.
- Be responsible for all activity that occurs under your account.
- Not share your account credentials with individuals outside your organization.
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Business Eligibility Requirements
GovConIQ is exclusively available to legally established business entities. By creating an account or using the Service, you represent and warrant that you are operating as a bona fide business organization that has satisfied all applicable formation, registration, and licensing requirements in the jurisdictions in which you operate. We reserve the right to request documentation to verify business legitimacy at any time and to suspend or terminate accounts that cannot demonstrate compliance.
State Formation Documents
To qualify as a legally established business entity, you must have completed the applicable state-level formation process. Accepted formation documents include:
- Articles of Organization — Filed with your state's Secretary of State to officially create a Limited Liability Company (LLC). This document is required for any LLC seeking access to GovConIQ.
- Articles of Incorporation — Filed with the state to establish a formal corporation (C-Corp or S-Corp). Required for any incorporated business entity using the Service.
- Certificate of Organization or Certificate of Formation — The official confirmation issued by your state once your formation documents are approved. This serves as proof of entity status and may be requested for verification purposes.
- Partnership Agreements or Joint Venture Agreements — Applicable where the customer entity is a formally registered partnership or joint venture engaged in or pursuing federal contracting.
Federal and Tax Identification
All business entities accessing GovConIQ must possess valid federal tax identification. Required federal documentation includes:
- Employer Identification Number (EIN) — A federal tax identification number issued by the Internal Revenue Service (IRS) to identify your business entity for tax purposes. An EIN is required to open business bank accounts, hire employees, and register in SAM.gov as a federal contractor. If you do not yet have an EIN, you may apply at no cost directly through the IRS at irs.gov. The Small Business Administration (SBA) also provides guidance on EIN registration for small businesses.
- SAM.gov Registration — To pursue federal contracts, your entity must be registered and active in the System for Award Management (SAM.gov). GovConIQ strongly recommends that all customers maintain a current SAM.gov registration. While GovConIQ does not require SAM.gov registration to access the platform, set-aside eligibility analysis within the Service is only meaningful for entities that are or will be SAM.gov-registered contractors.
Local and Operational Permits
You represent that your business holds all local and operational permits required by your jurisdiction and industry. Applicable permits typically include:
- Business License — A local operating permit issued by your city or county government authorizing you to conduct business in that jurisdiction. Requirements vary by location and business activity. You are responsible for obtaining and maintaining all required local licenses.
- DBA (Doing Business As) Certificate — If you operate under a trade name or fictitious name that differs from your legal business name, you must have registered that name with the appropriate state or local authority. GovConIQ requires that company profiles accurately reflect the entity's legal name and any registered trade names.
- Industry-Specific Permits and Licenses — If your business operates in a regulated industry (including but not limited to engineering, architecture, construction, healthcare, cybersecurity, environmental services, or defense), you must hold all applicable professional licenses, certifications, and permits required under federal, state, or local law. Relevant industry credentials include but are not limited to: professional engineer (PE) licenses, contractor's licenses, healthcare facility permits, security clearance facility certifications (FCLs), and CMMC (Cybersecurity Maturity Model Certification) assessments.
Internal Governance Documents
GovConIQ recommends, and may in certain circumstances require, that customer organizations have in place adequate internal governance documentation appropriate to their entity type. This may include:
- Operating Agreement (LLCs) — Draft this internal document to define ownership percentages, member roles, management structure, profit distribution, and decision-making procedures for your LLC. Most states do not require an Operating Agreement to be filed publicly, but it is essential for establishing ownership and control — which is a mandatory element of socioeconomic certification reviews (WOSB, EDWOSB, SDVOSB, HUBZone, 8(a)).
- Corporate Bylaws (Corporations) — Draft these internal rules to establish the governance structure of your corporation, including officer roles, board composition, voting procedures, and meeting requirements. Bylaws are typically required by state law to be adopted at the time of incorporation and must be maintained and available for inspection.
- Ownership and Control Documentation — For entities claiming socioeconomic certifications (SDVOSB, VOSB, WOSB, EDWOSB, HUBZone, 8(a)), adequate documentation of ownership percentages and control must be maintained and available for review by the applicable certifying authority. GovConIQ does not certify socioeconomic status — you must obtain and maintain certification through the appropriate federal or SBA program.
State-Specific Formation Guidance: Formation requirements, filing fees, and processing timelines vary by state and business structure. If you share your state and business structure (LLC, S-Corp, C-Corp, sole proprietorship, partnership, etc.), GovConIQ's support team can provide guidance on the specific steps and typical filing fees applicable to your jurisdiction. Representations Regarding Business Legitimacy
By accessing the Service, you represent and warrant that:
- Your business is a legally formed and validly existing entity in good standing under the laws of the jurisdiction in which it was organized.
- You have obtained all federal, state, and local licenses, permits, and registrations required to operate your business and pursue federal contracts.
- All information provided in your company profile — including certifications, NAICS codes, revenue, and employee count — is accurate, current, and not materially misleading.
- You are not a shell company, fictitious entity, or individual misrepresenting a business organization.
- You will promptly update your company profile if your business status, certifications, or legal formation changes in any material way.
GovConIQ reserves the right to suspend or permanently terminate any account that cannot substantiate these representations upon request.
5. Subscription Plans and Billing
Plans
GovConIQ offers several subscription plans including Professional ($299/month), Growth ($799/month), Executive ($1,499/month), and Enterprise (custom pricing). A limited free tier is also available for evaluation purposes. Features and usage limits vary by plan.
Founding Member Plan
A limited Founding Member Plan is offered at $199/month for qualifying early customers. Founding Member pricing is locked for 12 months from the subscription start date, subject to the Customer's continued compliance with these Terms and participation requirements communicated at signup.
Billing
- Subscriptions are billed monthly in advance unless otherwise agreed in writing.
- Payments are processed securely through Stripe. By providing payment information, you authorize GovConIQ to charge your payment method on a recurring basis.
- All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by applicable law.
- We reserve the right to change our pricing with 30 days' notice to current subscribers. Continued use after a price change constitutes acceptance.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the paid period. No partial refunds are provided for unused subscription time.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to violate any applicable federal, state, or local law or regulation.
- Attempt to circumvent, reverse-engineer, or interfere with any security feature of the Service.
- Harvest, scrape, or systematically extract data from the Service beyond normal use of the platform interface.
- Use the Service to transmit spam, malicious code, or any unauthorized automated requests.
- Impersonate any person or entity or misrepresent your affiliation with any organization.
- Use the Service to engage in any activity that violates SAM.gov's Terms of Use or any other federal data source's terms of service.
- Resell, sublicense, or redistribute access to the Service without our written consent.
7. Federal Procurement Data
GovConIQ retrieves opportunity data from SAM.gov and other publicly accessible federal procurement sources using authorized APIs. You acknowledge that:
- Federal procurement data is publicly available information provided by the U.S. government.
- GovConIQ is not affiliated with or endorsed by the U.S. government, the General Services Administration, or any federal agency.
- Opportunity data may contain delays, errors, or omissions relative to the source data. We make reasonable efforts to maintain data accuracy but cannot guarantee the completeness or timeliness of federal data retrieved through third-party APIs.
- GovConIQ does not verify solicitation requirements, set-aside eligibility determinations, or agency preferences on your behalf. You are solely responsible for verifying your eligibility and compliance with any opportunity you pursue.
8. AI Analysis Disclaimer
GovConIQ's scoring engine uses artificial intelligence to generate opportunity scores, bid/no-bid recommendations, capability assessments, and other analytical outputs. You acknowledge and agree that:
- AI analysis is decision-support only and does not constitute professional legal, procurement, or business advice.
- AI-generated scores and recommendations may be incorrect, incomplete, or inapplicable to your specific situation.
- GovConIQ does not guarantee that any opportunity scored as "BID" will result in a contract award or that any opportunity scored as "PASS" is not worth pursuing.
- You are solely responsible for your bid/no-bid decisions and any consequences arising from your use of the Service.
9. Intellectual Property
The GovConIQ platform, including its software, scoring algorithms, visual design, branding, and non-public training data, is owned by GovConIQ and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You retain ownership of all company profile data and other information you provide to the Service. By providing this information, you grant GovConIQ a limited license to use it to deliver the Service, improve our models (in anonymized or aggregated form only), and as otherwise described in our Privacy Policy.
10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential. GovConIQ will not disclose your company profile, opportunity pipeline, or other proprietary business information to third parties except as described in our Privacy Policy or required by law.
11. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOVCONIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OPPORTUNITY DATA WILL BE COMPLETE, ACCURATE, OR UP TO DATE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOVCONIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF GOVCONIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GOVCONIQ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO GOVCONIQ IN THE THREE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless GovConIQ and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
14. Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate the agreement upon notice if the other party materially breaches these Terms and fails to cure such breach within 30 days. GovConIQ may immediately suspend or terminate your access for violations of the Acceptable Use provisions.
Upon termination, your right to use the Service ends. Sections 8, 9, 11, 12, 13, and 15 of these Terms survive termination.
15. Governing Law and Disputes
These Terms are governed by the laws of the United States and the laws of the state in which GovConIQ is incorporated, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
16. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-platform notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
